Job Description

UWCSEA has a vacancy for a Project Manager (Board of Governors) to start from September 2024 (negotiable), supporting both our campuses. This is a full-time hybrid role, but we are open to considering candidates who prefer a part-time schedule. The Project Manager (Board of Governors) works directly with the Chair of the Board, Governors & advisers, Independent Directors of the Foundation, as well as College leadership. The role requires general business, project management, and governance & compliance skills.

The role includes the following key aspects:

1. General business and management:

Coordinating and managing Board projects including (i) recruiting governors & advisers, (ii) engaging with consultants on Board reviews and audits, (iii) preparing the College’s annual report for the Charities Commission and any Charity Awards applications
Collating and circulating materials for meetings
Maintaining relevant Board information and documents
2. Governance:

Attending, minuting and following up for Board and Committee meetings.
Advising the Board on governance matters based on best practice and the College’s documents
Assisting in reviews of Board policies, terms of reference, constitution, and charter, etc.
Maintaining awareness of Corporate Governance trends, including participating in professional training through the Singapore Institute of Directors and other entities
3. Compliance:

Ensuring compliance with College’s governance and regulatory requirements
Coordinating with College leadership on accreditation with various accrediting and audit bodies
Liaising with the College’s Corporate Secretary (Vistra) and with various regulatory bodies
The Project Manager (Board of Governors) works across both Dover and East campuses, as meetings take place in both locations.

Main Responsibilities
Collates and circulates committee and Board papers, including (i) liaising with the Board Chair, Committee Chairs and College management, (ii) assisting in drafting resolutions
Attends Board and committee meetings, prepares minutes, tracks follow up actions and decisions
Assists in and coordinates recruitment, appointment and induction of new committee and Board Governors
Maintains Board database of attendance, membership, evaluations and other information for efficient Board operations and regulatory compliance
Maintains Board and committee documents including managing Terms of Reference reviews
Ensures and monitors regulatory compliance (CPE, MOM, ACRA, Charities Commission etc.)
Liaises with and oversees third party Corporate Secretarial services to ensure regulatory compliance
Person Specifications
EDUCATIONAL QUALIFICATIONS AND EXPERIENCE

Bachelor’s Degree with between 3-5 years corporate experience
Corporate management, project management, project secretariat, legal or paralegal background
Experience scoping, organizing, and leading projects with diverse stakeholders
Experience as an independent self-manager
SKILLS & QUALITIES

Internationally-minded with an appreciation for the UWC mission and the identity of the college
High level of professional maturity and discretion. Ability to manage confidential information and display judgment on “need to know” information
Strong verbal and written communication skills
Highly collaborative and able to work with a broad spectrum of stakeholders
Strong organisational skills including for record keeping and compliance
Able to work independently and proactively with a high attention to detail
General interest in or familiarity with governance and Board activities; willing to learn about educational and charity regulatory requirements
Proficient in Google and MS Office Suites
